ELG is pivotal in the transfer of ownership of one of the largest “brownfield” properties in the Bay Area.
Edgcomb Law Group, LLP (ELG) is pleased to report that ownership of an approximately 88-acre former construction facility located in Richmond, CA has been successfully transferred from an ELG client to a new owner that proposes to develop a large mixed-use commercial development. and residential projects on site. The site is one of the largest “brownfield” properties in the San Francisco Bay Area and was previously used for chemical manufacturing in the 1890s. Following the successful transfer of the property, ELG’s client has agreed to terms with the new owner that will allow the client to complete its ongoing remedial and habitat restoration efforts, while simultaneously allowing the property to be redeveloped and returned to productive use. As part of the transaction, the new owner assumed certain long-term environmental obligations.
ELG attorneys John Edgecomb and Bill Marsh led the asset transfer, including the negotiation of an environmental management agreement between ELG’s client and the prospective purchaser agreement (PPA) between ELG’s client and the new site owner, the California Department of Toxic Substances Control (DTSC). Site owner, and several land use agreements including master plan agreements and environmental restrictions. ELG has provided environmental law services at the facility since 1989, including early closure of the operating facility, major demolition, initial site investigation and remediation under Zoning Board oversight, property sale to previous developer, and more. Research and remediation under DTSC monitoring, all leading to this latest successful transaction allowing the completion of remedial construction activities at the site in accordance with the DTSC-approved remedial action plan and its eventual redevelopment and reuse.

After nearly 20 years of research and interim remedial measures at the 86-acre East Chemical and Research Facility in San Francisco Bay, the California Department of Toxic Substances Control (DTSC) approved a Remedial Action Plan (RAP) in December 2019. Located in Richmond, CA, the facility had produced basic chemicals since the 1890s and later made pesticides and added an agricultural chemical research center with greenhouses. A comprehensive RAP approved by DTSC includes soil excavation and offsite disposal, in situ groundwater treatment, soil vapor extraction, and capping. RAP approval is a key step in the redevelopment of a property, which may include certain types of residential development as part of a larger mixed-use development.

Edgcomb Law Group, LLP (ELG) attorneys John Edgcomb and Bill Marsh have provided environmental law services at the facility since 1989, including initial closure of the operating facility, major demolition, initial site investigation and remediation conducted under the Zoning Board. inspection, sale of property to developer, and to prepare facility for further research and remedial redevelopment under DTSC oversight. ELG was also instrumental in obtaining DTSC approval in 2019 of the RAP for Habitat Area 2, which required the excavation and offsite disposal of contaminated sediments from two freshwater lagoons that were former wastewater treatment ponds. The remaining deeply contaminated sediments were capped in place. Due to the presence of wetlands and endangered species in Habitat Zone 2, ELG assisted its client in obtaining permits and approvals for the RAP from several other federal and state agencies. Improvements to Housing Zone 2 were completed in 2019. The habitat restoration phase of the cleanup is underway and will provide a unique freshwater habitat for wildlife to enjoy as well as ecologically serve users of the adjacent creek trail. In addition to guiding our client through the numerous multi-agency approval processes required for the various phases of investigation and remediation activity, we assisted our client through numerous changes to the property’s zoning through negotiations with the city, and successfully litigated it with a previously unsuccessful developer and its lender.
