Mr Berry took a 55% stake. Blue Arrow had various subsidiaries. Ms Watson-Challis was executive director and part “president” of the subsidiaries, while Mr Berry was chairman. By 1984, Mrs Watson-Challise was traveling abroad, and was no longer taking an active part in company affairs. The company was floating, it public wt. Over time, with many others buying new share offerings, the percentage of his shareholding has fallen to 2.1%. He resigned his directorship, but his position as “presidot” was written into the company’s constitution, articles of association. He decided he wanted to come back. Management resisted, and they decided to change the company’s articles to remove him from the presidency. He pleaded in court that such action was “unfairly prejudicial” as he had a legitimate expectation of participation in the company’s affairs.
Vinelot J refused to grant relief to the applicant. A purported consent that he should remain as chairman was not viewed favorably in this public company, as it contradicted the principle that material governance information in public companies should be disclosed to shareholders. Investors are entitled to assume that all of the company’s constitution is written into the constitution (not some existential “legitimate expectation”).
